Terms of Use
Effective date: [effective date] · Last updated: October 6, 2026
These Terms of Use ("Terms") are an agreement between you and Clevers LLC ("we", "us") for your use of KPIK: our website (https://kpik.ai), web app (https://app.kpik.ai) and mobile apps (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for an organization, you agree on its behalf and confirm you're authorized to do so; "you" then includes that organization.
If your organization has signed an order form, enterprise agreement or data processing agreement ("DPA") with us, that agreement prevails over these Terms where they conflict.
1. Accounts
- You must be at least 16 years old and able to form a binding contract.
- Give accurate information and keep your sign-in methods secure: your email, phone, password, authenticator app and recovery codes, and any Google, Microsoft or Apple account you sign in with. You're responsible for activity under your account. Tell us at support@kpik.ai if you suspect unauthorized use.
- One person, one account. Don't share an account or create accounts by automated means.
- You can see your sessions and devices, sign any of them out, and turn on two-factor authentication in Settings. We recommend you do.
2. Workspaces and organizations
The Service is organized into workspaces. A workspace belongs to the organization (or person) that created it.
- Owners and admins. The person who creates a workspace is its owner. Owners and admins (and anyone their roles allow) can invite people, approve or decline join requests, change roles, suspend or remove people, transfer ownership, change the workspace's settings and plan, and see, export or delete its content. Only an owner can delete a workspace. A workspace must always have an owner: if you're the only owner and others are still in it, transfer ownership or delete the workspace before you delete your account.
- Members and guests. Members work in the workspace according to their role. Guests are people from outside the organization who see only what's shared with them. Someone with an email address on one of the workspace's verified domains is never a guest.
- Verified domains. An organization can prove that it owns an email domain by adding a DNS record. People who sign up with an address on a verified domain can then join or ask to join that organization's workspace. Only verify domains your organization controls. A verified domain moves to another workspace only if that workspace proves ownership the same way.
- Single sign-on and managed accounts. On plans that include it, an organization can connect its identity provider, create accounts when people first sign in, and require everyone on its verified domains to sign in through it. If your account is managed this way, your organization controls how you sign in, and you may not be able to change your email address or sign in with a password. An organization can also require two-factor authentication.
- Your organization's rules. If you join an organization's workspace, the organization controls it and its own policies may also apply to you. Content you add belongs to the workspace. If you leave or are removed, you lose access to it, and the content stays with the workspace.
- Responsibility. The organization is responsible for who it invites and what they do, for its settings, and for having a lawful basis to put people's information into the Service.
3. Your content
- You (or your organization) keep ownership of everything you put into the Service ("Content").
- You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display Content only as needed to provide, secure and support the Service, including sending it to our subprocessors and to AI providers when you use AI features, and as the law requires. The licence ends when the Content is deleted from the Service, except for copies in backups until they're overwritten.
- You're responsible for your Content and confirm you have the rights and permissions needed to put it into the Service.
- We don't use Content to train AI models.
4. Acceptable use
Don't use the Service to:
- break the law or infringe anyone's rights, including privacy and intellectual property;
- upload malware, or probe, scan, overload or break the Service or its security, or get around rate limits, plan limits or access controls;
- access accounts, workspaces or data you aren't authorized to access, or verify a domain your organization doesn't control;
- send spam or bulk invitations to people who haven't asked for them, or harass, threaten, impersonate or defraud anyone;
- scrape the Service, or copy, reverse engineer, resell or build a competing product from it, except as the law expressly allows;
- use AI features to generate unlawful or harmful content, to try to extract the providers' models or safety systems, or in breach of the AI providers' usage policies;
- store or process information the Service isn't designed for, such as payment card numbers, government ID numbers or health records, unless we've agreed to it in writing.
We may remove Content, or suspend access, that breaks these rules.
5. AI features
- AI features are produced by third-party models (from Anthropic, OpenAI and Google). Their output can be inaccurate, incomplete, out of date or inappropriate, and similar inputs can give different results.
- You're responsible for what you send to an AI feature (your prompts and any Content you include), and for reviewing output before you rely on it, act on it or share it.
- Don't rely on AI output as the only basis for decisions that significantly affect people (for example about employment, credit, health or legal rights), or as professional advice of any kind.
- Actions suggested by AI happen only when you approve them.
- AI usage is limited by your workspace's plan and budget. We may change which models we use.
6. Plans, seats and limits
- Plans. The Service is offered on Free, Team, Business and Enterprise plans. Each plan has its own features and limits (for example the number of members and guests, AI requests or single sign-on), shown in the app and on our website. Enterprise terms are agreed individually.
- Seats. Paid plans are priced per seat. A seat is one member; guests don't use seats. You can't add members beyond the seats you have.
- Limits. When a workspace reaches a limit, adding more is blocked until it upgrades or makes room.
- Downgrades. Moving to a smaller plan never deletes data. Anything over the new plan's limits stays and keeps working, but you can't add more until you're within the limit, and features the plan doesn't include can't be set up or changed.
- Fees, billing and renewal (when paid plans are available). Prices are shown before you buy. Subscriptions are billed in advance for each billing period and renew automatically until cancelled; you can cancel at any time, effective at the end of the paid period. Except where the law requires otherwise, fees are non-refundable. We may change prices with at least [30 days'] notice, and changes apply from your next billing period. If a payment fails, we may limit the workspace to the Free plan's features or suspend it after notice.
- Taxes. Prices don't include taxes. You're responsible for applicable sales, use, value-added and similar taxes, other than taxes on our income.
- Mobile apps. When paid plans are available, they'll be bought on the web, not in the mobile apps. If we ever sell plans through the Apple App Store or Google Play, those purchases are billed, renewed, cancelled and refunded under the store's terms.
7. Third-party services
The Service works with services we don't control, for example Google, Microsoft and Apple sign-in, your organization's identity provider, app stores, and the AI providers listed on our subprocessors page. Their own terms govern your use of them, and we aren't responsible for them. If one of them changes or stops working, we may change or remove the feature that depends on it.
8. Beta features
We may offer features marked as beta, preview or early access. They're provided as they are, may change or end at any time, may have limits on use, and aren't covered by any service commitment.
9. Availability and support
We work to keep the Service available and secure, but it may sometimes be unavailable, for example for maintenance or because of events outside our control. We may change, add or remove features. If we remove a feature that's material to a paid plan, we'll tell you in advance. Support is available at support@kpik.ai. Any service-level commitment is set out in an Enterprise agreement.
10. Feedback
If you send us ideas or feedback, we may use them without obligation to you.
11. Suspension and termination
- By you. You can stop using the Service at any time. You can delete your account in Settings → Delete account, and an owner can delete a workspace in the workspace's settings. Deletion is final.
- By us. We may suspend or end access to an account or a whole workspace if you breach these Terms (including the acceptable use rules), if fees are overdue after notice, if required by law, or to protect the Service, other users or third parties. A suspended workspace can't be used or joined, but nothing in it is deleted while it's suspended. Where reasonable, we'll give notice first and a chance to fix the problem.
- If we stop the Service or end your access for reasons other than your breach, we'll give reasonable notice and, for paid plans, refund fees for the unused period.
- Your data. Before a workspace is deleted or access ends, owners and admins can ask us for an export of the workspace's content at support@kpik.ai; we'll keep it available for [30 days] after termination unless the law prevents it, and then delete it as our Privacy Policy describes. Personal data is deleted as set out there.
- Sections that by their nature should survive termination (including 3, 12, 13, 14 and 15) survive.
12. Disclaimers
THE SERVICE, INCLUDING AI FEATURES AND BETA FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND US $100. These limits don't apply to liability that can't be limited by law, such as for fraud or for death or personal injury caused by negligence. Some jurisdictions don't allow these limits, so they may not apply to you.
14. Indemnity
If you use the Service for an organization, the organization will defend and indemnify us against third-party claims arising from its Content, its users' use of the Service, or its breach of these Terms, to the extent permitted by law. This section doesn't apply to consumers.
15. Governing law and disputes
These Terms are governed by the laws of [the State of Delaware, USA], without regard to conflict-of-law rules, and disputes will be resolved in [the state and federal courts located in Delaware]. If you're a consumer, you keep any protections the laws of your country of residence give you, and you may bring a claim in its courts.
16. Changes to these Terms
We may update these Terms. We'll post the new version here with a new date and, for material changes, tell you in the Service or by email at least [30 days] before they take effect. Each version has a number, and we record which version you accepted. If you keep using the Service after a change takes effect, you accept it; if you don't agree, stop using the Service and, if you wish, delete your account.
17. General
These Terms, the Privacy Policy and any order form, enterprise agreement or DPA (which prevails where it conflicts) are the entire agreement between you and us about the Service. If any part is unenforceable, the rest stays in effect. Not enforcing a provision isn't a waiver. You may not transfer these Terms without our consent; we may transfer them in a merger, acquisition or sale of assets. Neither of us is liable for delays caused by events beyond reasonable control.
